You need permission to make a remix, even non-profit, you don't need one when it is a pure cover version with no intention on profit.

nope but there are man ways to convert a youtube video into MP3 - I prefer a freeware called "jDownloader" but there are also browser plug-ins or online services (no software needed) available´- unfortunately I don't know any specific one but google might help if you look for "youtube mp3 converter"
